Marketplace Code of Conduct

For purposes hereof, “Vendor” shall mean a seller of goods on the Bison Leaf LLC, an Oregon limited liability company (“Bison Leaf”) wholesale marketplace (the “Platform”); “Buyer” shall mean a purchaser of goods on the Platform; “User” shall mean and a Buyer and/or a Vendor, as applicable.

  • Community Standards & Professional Integrity

Bison Leaf is a community-driven marketplace supporting the Public Lands community. By participating in the Platform, all Users, including Buyers and Vendors, agree to act in good faith, with professional integrity, commercial reasonableness, and in a spirit of mutual collaboration. Users must communicate respectfully, provide accurate business and product information, honor agreed transaction terms, and avoid conduct that is deceptive, abusive, discriminatory, or disruptive to the marketplace. Bison Leaf reserves the right, in its sole discretion, to determine whether conduct violates these standards and to take appropriate action, including warnings, transaction restrictions, account suspension, or permanent removal, to protect the integrity of the community.

  • Hands-Off Dispute Resolution

Bison Leaf does not act as a mediator, arbitrator, escrow agent, insurer, or guarantor for transactions between Buyers and Vendors. In the event of a dispute regarding order terms, shipping, delivery, product quality, compliance documentation, invoicing, payment, chargebacks, returns, or refunds, Buyers and Vendors are required to attempt to resolve the issue directly and in a commercially reasonable manner. Bison Leaf does not provide mediation, arbitration, or "money-back" guarantees for user-to-user transactions. Repeated disputes, unresolved patterns of unprofessional conduct, nonpayment, failure to fulfill orders, misuse of payment processes, or attempts to circumvent the Platform may result in restrictions, suspension, or permanent removal from the marketplace.

  • Review Integrity

The trust of the Bison Leaf community relies on honest, accurate, and transparent feedback. All reviews, ratings, and marketplace communications must be based on actual, documented business interactions and must not include false, misleading, confidential, retaliatory, defamatory, discriminatory, or harassing content. Users may not manipulate reviews, exchange compensation for positive reviews, post reviews on behalf of others, or use reviews to exert improper commercial pressure. Bison Leaf reserves the right to remove, decline to publish, or otherwise address any feedback that it deems, in its sole discretion, to violate this policy or abuse the review system.

  • Platform Circumvention & Ethical Conduct

To maintain the viability and fairness of the marketplace, Users agree to conduct all business initiated through Bison Leaf within the Platform's framework. Vendors shall not solicit Buyers to cancel, move, or complete Bison Leaf-initiated orders outside the Platform for the purpose of avoiding fees, commissions, records, payment processes, or marketplace protections. Buyers shall not induce Vendors to bypass the Platform for such purposes. Users must not scrape marketplace data, misuse contact information, interfere with Platform operations, misrepresent inventory or pricing, or engage in unethical or deceptive business practices. Any attempt to undermine the Platform's operational model may result in the immediate cancellation of listings or transactions, withholding or reversal of Platform privileges, account suspension, or permanent termination of the offending User's account.

  • Legal, Regulatory & Product Compliance

Users are responsible for complying with all applicable federal, state, local, and industry-specific laws, rules, and regulations applicable to their business activities, products, listings, advertising claims, labeling, packaging, shipping, taxes, permits, and licenses. Vendors must ensure that all products offered through the marketplace are lawful, accurately described, properly sourced, and fit for the represented wholesale purpose. Bison Leaf may request supporting documentation and may remove listings, restrict transactions, or suspend accounts where it reasonably believes a User or product may present legal, regulatory, safety, reputational, or marketplace integrity concerns.

  • Confidentiality & Responsible Use of Business Information

Users may receive non-public business, pricing, customer, product, order, or contact information through the marketplace. Users must use such information only for legitimate marketplace-related purposes and must not disclose, sell, misuse, or exploit another User's confidential or commercially sensitive information. Users must not use marketplace communications or data to send unsolicited marketing, harvest contacts, interfere with another User's business relationships, or compete unfairly outside the intended scope of the Platform.

  • Enforcement & Cooperation

Bison Leaf may investigate suspected violations of this Code of Conduct and may require Users to provide information, records, or documentation reasonably necessary to evaluate marketplace activity. Users agree to cooperate in good faith with any such review. Bison Leaf may take any action it deems appropriate to protect the marketplace, including removing content or listings, delaying or canceling transactions, limiting Platform functionality, withholding privileges, suspending or terminating accounts, or referring suspected unlawful conduct to appropriate authorities.
